This Schedule 14A filing consists of the following communication (the Communication) from Tilray, Inc., a Delaware corporation (Tilray), to certain shareholders of Tilray, relating to the proposed business combination of Tilray and Aphria Inc., a corporation existing under the laws of the Province of Ontario (Aphria), pursuant to the terms of the Arrangement Agreement, dated December 15, 2020, as amended, by and among Tilray and Aphria:

You should have recently received the proxy statement of Tilray, Inc. (Tilray) wherein your support is requested for, among other matters, the proposal to increase the authorized capital stock of Tilray (Tilray Charter Amendment Proposal) and the proposal to issue Tilray Class 2 common stock (Tilray Shares) to Aphria Shareholders pursuant to the arrangement agreement dated December 15, 2020 (Tilray Share Issuance Proposal), as detailed in the proxy statement. We urge you to support each of the proposals to be voted upon at the special meeting of stockholders to be held on April 16, 2021 (Tilray Special Meeting). As of the date of this letter, your shares of Tilray remain unvoted.

FOR each of the proposals being submitted to a vote at the Tilray Special Meeting.

The approval of the Tilray Charter Amendment Proposal requires the affirmative vote of the holders of a majority of the Tilray Shares outstanding and entitled to vote on the Tilray Charter Amendment Proposal. The approval of the Tilray Share Issuance Proposal requires the affirmative vote of a majority of votes cast at the Tilray Special Meeting on the Tilray Share Issuance Proposal. An abstention will have the same effect as a vote against the Tilray Charter Amendment Proposal and the Tilray Share Issuance Proposal.
